Contractual statements given by a Seller to a Buyer, commonly at Exchange and repeated at Completion.

Warranty and Indemnity Insurance (W&I Insurance)
Insurance covering certain losses arising from warranty breaches or specified indemnities.

Warranty Claim
A claim that a contractual warranty was untrue. 

Wind-Down Plan
A plan for ceasing regulated activities in an orderly manner while limiting harm to clients.

Working Capital
Current assets less current liabilities, subject to the detailed accounting policies and definitions in the transaction documents.

Working Capital Target/Peg
The agreed normal level of working capital against which the amount at Completion is measured.
